Terms & Conditions
1. Scope of Services
Warke Technologies offers a range of digital services, including but not limited to:
- Custom Software Development
- Web & Mobile Application Development
- UI/UX Design
- API Integration & Backend Systems
- SaaS & Cloud-Based Solutions
- E-commerce Development
- Technical Consulting & Maintenance
- IT Outsourcing & Dedicated Teams
All services will be delivered based on written agreements, project proposals, or approved scope documents.
2. Client Obligations
To ensure smooth project delivery, the client agrees to:
- Provide complete and timely access to all necessary information, assets, and resources.
- Respond to queries and approve work in a timely manner.
- Maintain regular communication throughout the project lifecycle.
- Secure all third-party licenses, content, or materials provided to us.
Failure to meet these obligations may result in delays, added costs, or project termination.
3. Intellectual Property Rights
- Client Ownership: Upon full payment, the client will own all custom-developed software, source code, documentation, and designs, unless otherwise agreed.
- Our Tools & Frameworks: We retain rights to use our own reusable libraries, tools, and components, even if integrated into your solution.
- Portfolio Use: We may display your project (excluding confidential content) in our portfolio or case studies unless you request otherwise in writing.
4. Confidentiality & Data Security
Both parties agree to:
- Maintain strict confidentiality regarding sensitive or proprietary information.
- Not disclose or use any confidential material for purposes outside the scope of the agreement.
- Take reasonable security precautions to protect data during project execution.
A separate Non-Disclosure Agreement (NDA) can be signed upon request.
5. Payment Terms
- Projects may be billed as fixed-price, milestone-based, or time & material depending on the agreement.
- Invoices must be paid within 7 days of issuance.
- Late payments may incur [100]% interest per month or service suspension.
- Payment gateways, transfer fees, or currency conversion charges are to be borne by the client.
- We accept payments via bank transfer, UPI, Razorpay, PayPal, Payoneer, or other mutually agreed methods.
6. Revisions & Change Requests
- Minor revisions are typically included within the agreed scope.
- Major feature additions or scope changes must be quoted and approved separately.
- A formal Change Request process may be used for larger or ongoing projects.
7. Warranties & Support
- We provide a standard 7-day bug-fix warranty after final delivery.
- Ongoing maintenance or feature updates must be outlined in a separate Support Agreement.
- We do not guarantee 100% bug-free software but commit to timely resolution of any critical issues.
8. Third-Party Services
We may integrate or use third-party APIs, hosting platforms, or tools as part of your solution.
We are not liable for downtime, changes, or costs related to third-party services unless otherwise stated.
9. Limitation of Liability
Warke Technologies is not liable for:
- Any loss of profits, data, or business arising from delays, errors, or disruptions.
- Issues caused by client-side errors, misuse of the software, or third-party service failure.
- Indirect or consequential damages related to project execution or software performance.
Our total liability is limited to the fees paid by the client for the affected service.
10. Project Termination
Either party may terminate the project if:
- The other party breaches any material term of the agreement.
- Obligations are not met even after written notice and reasonable time to remedy.
In such cases:
- All work completed up to termination will be billed and must be paid.
- Source code or project assets will be delivered only after payment is cleared.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Republic Of India.
In case of disputes:
- We will first attempt resolution via negotiation or mediation.
- If unresolved, disputes shall be handled in the appropriate courts of Republic Of India.
12. Website Usage
By using our website:
- You agree not to misuse, copy, or distribute any content without permission.
- All content, logos, and designs are owned or licensed by Warke Technologies.
- Unauthorized use may result in legal action.
13. Amendments to Terms
We reserve the right to modify these Terms at any time. Updates will be posted on this page with the updated effective date. Continued use of our services after changes constitutes your acceptance of the new Terms.
14. Force Majeure
We shall not be held liable for failure or delay in performing our obligations if such failure or delay is due to circumstances beyond our control, including natural disasters, cyber-attacks, war, strikes, or government restrictions.
14. Notice for European Clients
For clients, users, or visitors located within the European Union (EU), Warke Technologies is committed to operating in alignment with the applicable requirements of EU laws and regulations, including but not limited to:
- General Data Protection Regulation (GDPR) (EU) 2016/679: We ensure transparency, lawful processing of personal data, user rights regarding data access and deletion, and data protection by design and by default.
- ePrivacy Directive (2002/58/EC): We use cookies only with consent where required and allow users to manage cookie preferences at any time.
- Consumer Protection Directives: We strive to offer clear terms, fair commercial practices, and dispute resolution procedures in accordance with EU consumer rights law.
By interacting with our services from within the EU, you acknowledge and agree that Warke Technologies processes your data and governs service terms with full consideration of your applicable rights under EU legislation.
