Acceptance & Applicability

By accessing our website, requesting a quotation, purchasing a software product, engaging our professional services, or otherwise entering into a commercial relationship with Warke Technologies, you agree to be bound by the Terms applicable to that interaction.

These general Terms should be read together with any applicable written proposal, quotation, statement of work, order form, invoice, support agreement, license terms, privacy policy, or separately executed contract.

Scope of Services

Warke Technologies offers digital products and technology services including, but not limited to:

• Custom software development.
• Web and mobile application development.
• UI/UX design and frontend engineering.
• API integration and backend systems.
• SaaS and cloud-based solutions.
• E-commerce development and business applications.
• Technical consulting, maintenance, migration, and modernization.
• IT outsourcing, dedicated teams, and related engineering services.

The exact scope, deliverables, timelines, technologies, responsibilities, and commercial terms for a project will be determined by the relevant written agreement or approved scope document.

Client Obligations

To support effective and timely project execution, the client agrees to:

• Provide complete, accurate, and timely information, content, credentials, approvals, and required resources.
• Respond to project queries and review requests within reasonable timelines.
• Maintain appropriate communication throughout the project lifecycle.
• Ensure that all content, data, software, trademarks, media, and third-party materials supplied to us may lawfully be used for the project.
• Maintain secure control of credentials and access details shared with or generated for the client.
• Use delivered systems in accordance with applicable law, documentation, and agreed usage restrictions.

Delays or failures caused by unavailable information, approvals, access, or client dependencies may affect schedules, pricing, resource allocation, or project continuation.

Project Scope, Delivery & Approvals

Project work will be performed according to the approved scope, proposal, statement of work, milestone plan, or other written project documentation.

• Estimated delivery dates may depend on client responses, third-party services, technical dependencies, and project complexity.
• Where review or acceptance is required, the client is expected to provide feedback within the agreed review period.
• Delays in approval may shift dependent milestones and delivery dates.
• Any acceptance procedure specifically defined in a project agreement will govern that project.

Payment Terms, Fees & Taxes

• Projects may be billed as fixed-price, milestone-based, subscription-based, retainer-based, or time-and-material engagements.
• Unless otherwise agreed in writing, invoices are payable within 7 days of issuance.
• Warke Technologies may pause delivery, access, deployment, support, or further work where undisputed invoices remain overdue.
• Where permitted and expressly stated in the applicable agreement or invoice, late-payment charges may apply.
• Bank charges, gateway fees, transfer costs, intermediary fees, and currency-conversion charges may be payable by the client unless otherwise agreed.
• Applicable taxes, duties, withholding obligations, or statutory charges will be handled according to the governing invoice, contract, and applicable law.
• Payment may be accepted through bank transfer, UPI, Razorpay, PayPal, Payoneer, or other mutually agreed methods.

Revisions & Change Requests

• Minor revisions may be included where they remain within the approved project scope.
• New features, significant redesigns, additional integrations, new platforms, or material scope changes may require separate pricing and timeline approval.
• For larger projects, changes may be managed through a formal Change Request process.
• No material scope change is binding until it is accepted through the communication or approval process applicable to the project.

Intellectual Property Rights

• Client Ownership: Upon full payment, ownership of custom-developed deliverables will transfer to the client to the extent stated in the applicable project agreement.
• Pre-Existing Technology: Warke Technologies retains ownership of pre-existing libraries, reusable frameworks, templates, internal tools, utilities, know-how, development methods, and generic components unless expressly assigned in writing.
• Licensed Components: Third-party and open-source software remains subject to the licenses and ownership rights of its respective providers.
• Portfolio Use: We may reference or display non-confidential aspects of completed work in portfolios, proposals, presentations, or case studies unless prohibited by contract or requested otherwise in writing.

Third-Party Services, APIs & Open-Source Components

Solutions may rely on third-party software, APIs, cloud services, hosting providers, payment processors, libraries, frameworks, databases, communication providers, analytics tools, or open-source components.

• Third-party products remain subject to their own terms, licenses, availability, policies, and pricing.
• Warke Technologies does not control third-party outages, discontinuations, API changes, price revisions, service restrictions, or security incidents.
• Where a project requires paid third-party subscriptions or licenses, responsibility for those costs will be defined in the applicable project agreement.

Confidentiality & Data Security

Both parties are expected to protect confidential and proprietary information shared for legitimate project purposes.

• Confidential information should not be disclosed or used outside the intended business or project purpose without authorization.
• Reasonable technical and organizational precautions should be used to protect sensitive information and credentials.
• Confidentiality obligations may also be governed by a separately executed Non-Disclosure Agreement.

A separate NDA may be executed where additional confidentiality requirements are necessary.

Data Protection & Privacy

Personal data handled through our website, communications, products, or services will be processed in accordance with applicable privacy obligations and any relevant project-specific data processing requirements.

• Clients remain responsible for ensuring that personal data they provide to us may lawfully be processed for the requested service.
• Where required, separate data processing terms may be agreed between the parties.
• Privacy-related requests may be directed to the designated contact stated in our privacy materials or relevant agreement.

Warranties, Bug Fixes & Support

• Unless otherwise agreed, we provide a standard 7-day bug-fix period following final delivery for reproducible defects in the delivered scope.
• The bug-fix period does not automatically include new features, changed requirements, third-party failures, misuse, infrastructure changes, or modifications made by parties outside our control.
• Ongoing maintenance, support, upgrades, monitoring, or feature development may require a separate support or maintenance agreement.
• Software can contain defects despite reasonable engineering and testing; therefore, no general guarantee of completely error-free operation is made unless expressly agreed in writing.

Website Usage & Acceptable Use

By using our website, products, documentation, or publicly accessible digital resources, you agree not to:

• Attempt unauthorized access to systems, accounts, databases, servers, or restricted resources.
• Use our services for unlawful, fraudulent, abusive, infringing, or malicious activity.
• Copy, reproduce, distribute, scrape, republish, or commercially exploit protected content except where permitted.
• Interfere with website security, availability, performance, or normal operation.
• Misrepresent affiliation with Warke Technologies or misuse our name, trademarks, branding, or intellectual property.

Website content, branding, logos, design elements, and proprietary materials remain owned or licensed by Warke Technologies or their respective rights holders.

Suspension & Project Termination

Either party may terminate a project where permitted by the applicable agreement, including where:

• The other party materially breaches an agreed obligation and fails to remedy the breach within a reasonable period after notice.
• Required payments remain overdue.
• Continued work becomes unlawful, unsafe, technically impracticable, or materially inconsistent with the agreed scope.
• Either party exercises a contractual termination right contained in a project-specific agreement.

On termination, completed work and properly incurred charges up to the termination date remain payable. Source code, credentials, project assets, or final deliverables may be released after applicable outstanding payments are cleared.

Limitation of Liability

To the maximum extent permitted by applicable law, Warke Technologies will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from use of the website, software, services, project delays, third-party failures, or interruptions.

• This includes loss of profit, revenue, opportunity, goodwill, or data where such exclusion is legally permitted.
• We are not responsible for failures caused by client-side changes, misuse, unauthorized modifications, unsupported environments, or third-party systems outside our reasonable control.

Indemnification

To the extent permitted by law and subject to any applicable project agreement, a client may be responsible for claims, losses, or costs arising from unlawful materials, instructions, data, content, or intellectual property supplied by the client for use in a project, or from the client's misuse of delivered systems.

Any project-specific indemnity obligations will be interpreted according to the written agreement governing that project.

Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond reasonable control, including natural disasters, severe infrastructure or internet failures, cyber incidents, war, civil disturbance, governmental restrictions, strikes, major service-provider outages, or similar events.

The affected party should take reasonable steps to reduce the impact and resume performance when practicable.

Governing Law & Dispute Resolution

Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the Republic of India.

• The parties should first attempt to resolve disputes through good-faith discussion or negotiation.
• Where appropriate, the parties may mutually agree to mediation or another alternative dispute-resolution process.
• If the dispute remains unresolved, it may be brought before the competent courts in India, subject to any jurisdiction clause contained in a project-specific agreement.

Notice for European Clients & Users

Where European Union or European Economic Area data-protection or consumer rules apply, Warke Technologies aims to handle applicable obligations with regard to transparency, lawful processing, user rights, security, and required consent mechanisms.

• GDPR: Where applicable, personal data should be processed under an appropriate lawful basis and subject to relevant individual rights.
• ePrivacy Rules: Cookie and similar technologies may require consent depending on their purpose and applicable law.
• Consumer Rules: Mandatory consumer rights that cannot legally be excluded will remain unaffected by these Terms.

Amendments to These Terms

Warke Technologies may update these Terms from time to time to reflect changes in services, operational practices, legal requirements, technology, or commercial arrangements.

Material updates will be reflected on this page by changing the stated revision or effective date. Continued use of affected services after updated Terms become applicable may constitute acceptance where permitted by law and the relevant contractual relationship.

General Legal Provisions

• Severability: If any provision is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
• No Waiver: Failure to enforce a right immediately does not automatically waive that right.
• Assignment: Rights or obligations may not be transferred where prohibited by the governing agreement or applicable law.
• Entire Agreement: The applicable signed agreement, together with incorporated documents and these Terms where relevant, constitutes the understanding for the covered engagement.
• Electronic Communications: Notices, approvals, quotations, invoices, and project communications may be exchanged electronically where legally valid and operationally appropriate.
• Headings: Section titles are provided for convenience and do not limit the meaning of the underlying provisions.
